CNA pone a su disposición tres tipos de claúsulas que usted puede agregar a sus contratos. Así, en el caso de conflicto, el CNA se hará cargo de él de manera transparente, rápida y eficiente.

CNA makes available to you three kind of clauses to be incorporated on your contracts. Therefore, in case of dispute, CNA will asumme and manage it in a transparent, efficient, and timely manner.

CLÁUSULAS ARBITRALES CENTRO NACIONAL DE ARBITRAJES
El CNA sugiere los siguientes modelos de cláusulas arbitrales, sin perjuicio del derecho de las partes de modificarlas o diseñar otras de acuerdo a su preferencia.
Cláusula general sugerida (árbitro arbitrador o mixto, sin apelación)
Toda controversia referida a la interpretación, ejecución o validez de este contrato será resuelta en única instancia por un árbitro [arbitrador/mixto], de acuerdo a los procedimientos señalados por el Reglamento Arbitral del Centro Nacional de Arbitrajes S.A. (“CNA”), el que será designado en conformidad con el procedimiento indicado en dicho reglamento, una copia del cual fue protocolizado en la notaría de Santiago de don Raúl Iván Perry Pefaur con fecha 9 de abril de 2009.
En caso de conflicto, se aplicará el Reglamento Arbitral del CNA vigente a la fecha del juramento del árbitro.
En contra de las resoluciones del árbitro no procederá recurso alguno, con excepción de los que sean irrenunciables en conformidad con la ley.

Cláusula arbitraje con apelación
(árbitro arbitrador o mixto)
Toda controversia referida a la interpretación, ejecución o validez de este contrato será resuelta por un árbitro [arbitrador/mixto], de acuerdo a los procedimientos señalados por el Reglamento Arbitral del Centro Nacional de Arbitrajes S.A. (“CNA”), el que será designado en conformidad con el procedimiento indicado en dicho reglamento, una copia del cual fue protocolizado en la notaría de Santiago de don Raúl Iván Perry Pefaur con fecha 9 de abril de 2009.
En caso de conflicto, se aplicará el Reglamento Arbitral del CNA vigente a la fecha del juramento del árbitro.
En contra de la sentencia definitiva sólo procederá el recurso de apelación, el que será conocido por un tribunal de tres árbitros designados de entre los miembros del Consejo Superior del CNA, en la forma descrita en el Reglamento Arbitral del CNA.
En contra de las otras resoluciones del árbitro de primera instancia no procederá recurso alguno con excepción de los que sean irrenunciables en conformidad con la ley.
En contra de las resoluciones del tribunal arbitral de segunda instancia no procederá recurso alguno, con excepción de los que sean irrenunciables en conformidad con la ley.

Cláusula arbitraje de derecho (con apelación)1

(“CNA”), el que será designado en conformidad con el procedimiento indicado en dicho reglamento, una copia del cual fue protocolizado en la notaría de Santiago de don Raúl Iván Perry Pefaur con fecha 9 de abril de 2009.
En caso de conflicto, se aplicará el Reglamento Arbitral del CNA vigente a la fecha del juramento del árbitro.
En contra de la sentencia definitiva sólo procederá el recurso de apelación, el que será conocido por un tribunal de tres árbitros designados de entre los miembros del Consejo Superior del CNA, en la forma descrita en el Reglamento Arbitral del CNA.

The CNA suggest the following models of arbitration clauses, notwithstanding the right of the parties to modify them or use different ones.
Arbitrator ex aequo et bono (no appeal)
All disputes arising out of or in connection with this contract, its existence, interpretation, execution, or validity shall be referred and finally resolved by arbitration, in accordance with the Rules of Arbitration (“Rules”) of the Centro Nacional de Arbitrajes S.A. (“CNA”), by one arbitrator appointed pursuant to the said Rules.
The arbitrator shall decide the merits of the dispute and all procedural matters ex aequo et bono (árbitro arbitrador).
Any award, decision, or order rendered by the arbitrator shall be final and binding on the parties, and each party hereby waives to the fullest extent possible by law any recourse it may otherwise have to any judicial proceedings, including apelación and casación, except for those recourses that cannot be waived by law.
Mixed arbitrator (no appeal)
All disputes arising out of or in connection with this contract, its existence, interpretation, execution, or validity shall be referred and finally resolved by arbitration, in accordance with the Rules of Arbitration (“Rules”) of the Centro Nacional de Arbitrajes S.A. (“CNA”), by one arbitrator appointed pursuant to the said Rules.
The arbitrator shall decide the merits of the dispute in accordance with the proper applicable law, and shall decide all procedural matters ex aequo et bono (árbitro mixto).
Any award, decision, or order rendered by the arbitrator shall be final and binding on the parties, and each party hereby waives to the fullest extent possible by law any recourse it may otherwise have to any judicial proceedings, including apelación and casación, except for those recourses that cannot be waived by law.

1 Considerando la discusión generada en torno a la admisibilidad del recurso de queja en contra de sentencias definitivas de árbitros de derecho, el CNA sugiere que, tratándose de arbitrajes de derecho, se pacte apelación, con el objeto de permitir la revisión de la sentencia en casos de abusos graves.
